Terms & Conditions of Furniture Supply

1. Scope of Supply

JATRA shall manufacture and supply furniture in accordance with the approved drawings, specifications, finishes, material schedules, and Purchase Order.

Unless otherwise stated, the scope includes:

  • Shop drawings (where applicable)

  • Material procurement

  • Manufacturing

  • Quality Control

  • Factory assembly (where required)

  • Packing

The following are excluded unless expressly stated:

  • Installation

  • Unloading

  • Site handling

  • Moving furniture within the project

  • Electrical and plumbing connections

  • Site protection

  • Maintenance

 

2. Product Specifications

Furniture shall be manufactured in accordance with approved specifications including:

  • Dimensions

  • Timber species

  • Veneers

  • Plywood

  • Upholstery

  • Fabrics

  • Leather

  • Foam density

  • Hardware

  • Metal finishes

  • Stone

  • Glass

  • Colours

  • Surface finishes

Minor dimensional tolerances consistent with industry practice are acceptable.

 

3. Timber & Natural Materials

Wood, veneer, stone, leather, rattan, marble, travertine, and other natural materials contain inherent natural variations.

These include:

  • Colour variation

  • Grain variation

  • Mineral streaks

  • Sapwood

  • Natural knots

  • Small pin holes

  • Texture variation

  • Shade differences

  • Weathering

  • Natural movement

These characteristics are considered natural features rather than defects.

 

4. Shop Drawings

Production begins only after written approval of:

  • Shop Drawings

Approval confirms acceptance of:

  • Dimensions

  • Design

  • Construction

  • Materials

  • Finishes

Any revisions after approval may result in:

  • Additional cost

  • Revised production schedule

 

5. Samples & Mock-ups

Where requested, mock-ups or prototype furniture shall be supplied for approval.

Approval of the prototype shall become the production standard.

 

6. Quality Control

JATRA performs inspections throughout manufacturing including:

  • Timber moisture

  • Joinery

  • Construction

  • Dimensions

  • Finishing

  • Upholstery

  • Assembly

  • Hardware installation

  • Packaging

The Client may appoint inspectors during production upon reasonable notice.

 

7. Production

Production begins after receipt of:

  • Purchase Order

  • Advance Payment

  • Approved drawings

Production periods are estimates only.

They may change due to:

  • Design revisions

  • Material availability

  • Force Majeure

 

8. Delivery

Delivery dates are estimates only.

JATRA shall not be liable for:

  • Project delays

  • Liquidated damages

  • Loss of revenue

  • Hotel opening delays

unless expressly agreed in writing.

Partial deliveries are permitted.

 

9. Packing

Furniture shall be packed using export-quality materials including:

  • Foam

  • Bubble wrap

  • Plastic protection

  • Corner protectors

  • Corrugated board

  • Wooden crate (where required)

  • Pallets (where required)

 

10. Shipping

EXW JATRA Factory, Klaten, Central Java, Indonesia (Incoterms® 2020)

Risk transfers according to the applicable Incoterms.

 

11. Installation

Installation is excluded unless stated otherwise.

JATRA shall not be responsible for damage caused by:

  • Third-party installers

  • Mishandling

  • Improper installation

  • Site conditions

  • Incorrect wall fixing

  • Moisture

  • Uneven flooring

 

12. Storage

Furniture shall be stored:

  • Indoors

  • Dry

  • Well ventilated

  • Away from direct sunlight

  • Away from standing water

  • Away from excessive humidity

Improper storage voids warranty.

 

13. Payment

Unless otherwise agreed:

  • 50% Advance Payment

  • 50% Before Shipment after Factory QC

Goods remain the property of JATRA until full payment has been received.

 

14. Variations

Changes after production has begun shall be treated as Variation Orders.

Variations may affect:

  • Cost

  • Lead time

  • Delivery

 

15. Cancellation

Purchase Orders become binding upon receipt of the Advance Payment.

Advance Payments are non-refundable.

 

16. Warranty

JATRA warrants its furniture against manufacturing defects for 3 months from delivery or project handover, whichever occurs first.

The warranty covers:

  • Structural failure due to manufacturing

  • Manufacturing defects

  • Hardware failure caused by manufacturing

The warranty excludes:

  • Normal wear and tear

  • Scratches

  • Misuse

  • Water damage

  • UV fading

  • Fabric staining

  • Leather ageing

  • Timber movement

  • Marble staining

  • Glass breakage

  • Impact damage

  • Improper cleaning

  • Third-party modifications

  • Improper installation

  • Outdoor exposure of indoor furniture

  • Coastal corrosion where non-marine hardware has been specified

 

17. Claims

Visible damage must be reported within 7 calendar days.

Hidden manufacturing defects must be reported within 30 calendar days.

Claims shall include:

  • Photographs

  • Description

  • Delivery documentation

JATRA may inspect the products before approving any warranty claim.

 

18. Limitation of Liability

To the maximum extent permitted by law, JATRA’s total liability shall not exceed the value of the relevant Purchase Order.

JATRA shall not be liable for indirect or consequential losses including:

  • Loss of profit

  • Business interruption

  • Hotel operational losses

  • Rental losses

  • Liquidated damages

  • Loss of revenue

  • Reputational damage

 

19. Force Majeure

JATRA shall not be liable for delays caused by events beyond its reasonable control, including:

  • Natural disasters

  • Fire

  • Flood

  • Earthquake

  • War

  • Civil unrest

  • Terrorism

  • Epidemics

  • Pandemics

  • Labour shortages

  • Material shortages

  • Government regulations

  • Export restrictions

  • Shipping disruptions

  • Port congestion

  • Power outages

 

20. Intellectual Property

All designs, shop drawings, renderings, production details, and engineering documents prepared by JATRA remain the intellectual property of JATRA unless otherwise agreed in writing.

 

21. Governing Law

This Agreement shall be governed by the laws of the Republic of Indonesia.

Disputes shall first be resolved through good-faith negotiations.

If unresolved within thirty (30) days, disputes shall be settled by arbitration in Indonesia, and the arbitral award shall be final and binding.

 

22. Entire Agreement

These Terms & Conditions constitute the entire agreement between JATRA and the Client concerning the supply of furniture.

Any amendment shall be valid only if made in writing and signed by both parties.
